AGREEMENT TO OFFICIAL RULES for the “Oasis Trade Your Blues Giveaway”. Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. The contest is in no way sponsored, endorsed or administered by, or associated with Facebook. 1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS GIVEAWAY, VOID WHERE PROHIBITED. A purchase of a product or service from Oasis Hotels and Resorts will not improve the chance of winning. Void where prohibited. Subject to all federal, state, and local laws. Participation may require internet access.

2. ELIGIBILITY: The Giveaway is open only to legal residents of the 50 United States, the District of Columbia, Canada (excluding Quebec) who are at least 21 years of age at time of entry. Employees, directors, and officers, of Oasis Hotels and Resorts, TravAmerica, Inc. and their respective parents, affiliates, subsidiaries, retailers, distributors, suppliers, advertising and promotional agencies, and any other individuals engaged in any way in the development, production, printing, distribution or execution of this Giveaway, and their immediate family members (spouse, parents, step-parents, children, step-children, siblings and their respective spouses, regardless of where they reside) and those living in the same household of each such employee, director, and officer, whether or not related, are not eligible to enter or partake in a prize. Void where prohibited PROMOTIONAL PERIODS: The sweepstakes will take place from January  01, 2016 – January 31, 2016 (the “Promotional Period”). Entries submitted prior to or after the Promotional Period will be disqualified.

3. HOW DO I ENTER? Enter by going to http://www.facebook.com/OasisHotels and filling out the entry form and joining the Oasis Hotels email list. All entries must be received between Jan.  01, 2016 at 10:00 a.m. EST until 11:59 p.m. EST on Jan. 31, 2016 to be eligible to enter the Giveaway. You can enter once during the promotional period. You will receive up 5 additional entries for sharing on your social network. This Giveaway is in no way sponsored, endorsed or administered by, or associated with, Facebook, Inc. You understand that you are providing your personal information to the Sponsor and not to Facebook. Personal information collected from entrant will be collected on Sponsor’s behalf by Sponsor’s third party provider and used solely by Sponsor and its third party provider to (i) administer the Giveaway, (ii) send communications relating to the Giveaway, (iii) notify the winners and award prizes, and (iii) analyze performance of the Giveaway on an anonymous basis, and will not be otherwise re-used, sold or shared by Sponsor or with any third parties except as stated in Sponsor’s privacy policy unless the entrant has “opted in” at time of entry. Direct any questions, comments or complaints regarding this Giveaway to the Sponsor and not to Facebook. In the event of a dispute as to who submitted an entry, the name of the “authorized account holder” associated with the email address will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned to the email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Sponsor will not verify receipt of entries. Entries that are late, lost, stolen, undelivered, illegible, contain false information, damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular, generated by script, macro or other automated or mechanical means, that have been submitted through illicit means or by any means which subvert the entry process or that do not conform with or satisfy any or all of the conditions set out in the Official Rules will be void.

Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries/plays by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries/plays and that entrant may be disqualified. Use of any automated program to enter will result in disqualification.

By entering this Giveaway, entrant agrees to release and hold harmless Sponsor, its related companies, its parent and affiliates and each of their respective officers, directors, employees, shareholders, members, owners and agents from and against any claim, allegation, liability or cause of action arising out of participation in the Giveaway or receipt or use of any prize. The winner may (in Sponsor’s sole discretion) be required to sign and return a release of liability, publicity release (unless prohibited by law) and declaration or affidavit of eligibility as a condition of receiving the prize or at any time thereafter.

4. Prizing Details~ One (1) Grand Prize winner will receive a 5 night all-inclusive stay for 2 adults at the Grand Oasis Sens in Cancun, Mexico.

The winner is to be announced after the winner has been contacted via email. Certain restrictions and blackout dates apply and reservations are based upon availability at the time of reservation request. Reservations must be made 30 days prior to arrival. Voucher is based upon availability. Total prize value of all prizes to be awarded is available upon request for tax reporting purposes. Cash will not be substituted for any prize. -The prize does not include flights, transfers and expenses during the stay.

No interest will be paid for the time between the date of the drawing and the receipt of the prize. Winner is responsible for the reporting and payment of all federal, state and local taxes incurred by the acceptance of the prize. Prizes cannot be assigned, transferred, exchanged or otherwise redeemed. Sponsor is not responsible for any costs associated with accepting or otherwise using the prizes. All decisions regarding interpretation of these Official Rules and administration of the Giveaway made by Sponsor are final and binding. Acceptance of prize constitutes permission to the Sponsor and its agents to use winner’s name and/or likeness for purposes of marketing and advertising and trade without further compensation, unless prohibited by law.

5. HOW DO I WIN? Potential prize winner will be randomly selected after the Giveaway entry date. Odds of winning will depend upon the total number of entries received. You may only win once. Three attempts to contact the potential Prize winner by e-mail or by phone will be made. Actual means of notification to be determined by Sponsor at its sole discretion. If a potential Prize winner is unable to be reached within three (3) days of the third contact attempt, or refuses to accept the prize, that potential winner will be disqualified and an alternate winner will be selected. If receipt of the prize is restricted by law or employment policy applicable to a potential winner or potential winner’s family (parents, children, siblings and spouse) and member of the households (whether or not related) of each, that potential winner will be disqualified and another winner selected.

Sponsor shall have no liability or responsibility to award any prize where: (a) if any mail or e-mail addressed to the potential Winner is returned to Sponsor as undeliverable without a forwarding address or if potential Winner cannot be contacted for any reason; or ( b ) potential Winner is deemed ineligible or otherwise non-compliant with any aspect of these Official Rules. Noncompliance will result in disqualification of the potential Prize winner and the selection of an alternate Prize winner. All prizes will be awarded.

6. CONDUCT. By entering this contest, each entrant agrees to be bound by these Official Rules and by the decisions of the Sponsor and its agents, which are final and binding in all matters relating to the Giveaway. Sponsor reserves the right at its sole discretion to disqualify and prohibit any Entrant from participating in the Giveaway or winning a prize who Sponsor suspects, in the sole discretion, of attempting to undermine the legitimate operation of the Giveaway by cheating, deception, or other unfair playing practices or intending to annoy, abuse or threaten or harass any of the Sponsors’ representatives, by not meeting the age or other entry requirements or otherwise failing to comply with these Rules. NOTE: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DAMAGE ANY WEB SITE ASSOCIATED WITH FACEBOOK, THE SPONSOR OR ITS AGENTS OR UNDERMINING THE LEGITIMATE OPERATION OF THE GIVEAWAY IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SPONSOR AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BYLAW.

7. LIMITATION OF LIABILITY. No liability is assumed for illegible or incomplete entry information or for telephone-related technical difficulties or for technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this Giveaway or by any human error which may occur in the processing of the entries in this Giveaway. If, in the Sponsor’s opinion, there is any suspected or actual evidence of tampering with any portion of the Giveaway, or if technical difficulties compromise the integrity of the Giveaway, or an unauthorized intervention or any other cause adversely affects the proper administration, play or conduct of the Giveaway, the Sponsor reserves the right, at its sole discretion, to (a) suspend or cancel the Giveaway in part or its entirety; (b) void any suspected entries, and/or ( c ) conduct a random drawing to award the prizes using all the entries received prior to suspension or cancellation. Sponsor is not responsible for any typographical or other error in the printing of these Official Rules or any materials associated with the administration of the Giveaway or the announcement of the prize.

8. RELEASE. Each entrant and each winner, including any parent(s) or legal guardian(s), by entering this Giveaway or accepting any prize, agrees on behalf of him/herself, his/her heirs, executors, representatives, assigns, administrators and next of kin to indemnify, hold harmless and release Facebook, the Sponsor, its parent, subsidiary and affiliated businesses and each of their officers, directors, shareholders, employees, advisors, assignees, agents, representatives and any other person or entity associated with this Giveaway from any and all liability claims or actions of any kind whatsoever for injuries, damage or losses to persons and property which may be sustained in connection with participation in this Giveaway or the receipt, enjoyment, ownership or use of the prizes. The Sponsor makes no warranties, express or implied, relative to the use or enjoyment of any prize or portions thereof, including without limitations, its quality, merchantability or fitness for a particular purpose. By entering the Giveaway, each entrant agrees to hold harmless and fully release the Sponsor from any and all liability for any injuries, losses, death, or damages of any kind caused by participation in the Giveaway, any prize or resulting from the acceptance, possession, quality, use or misuse of any prize or Sponsor’s or its respective designees’ use of any entry.

9. DISPUTES As a condition of participating in this Giveaway, each entrant agrees that:

(1) any and all disputes, claims, and causes of action arising out of or in connection with this Giveaway, or any prizes awarded, shall be resolved individually, without resorting to any form of class action, and any judicial proceeding shall take place in a federal or state court within the United States of America;

(2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and

(3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses (i.e., reasonable costs associated with entering this Giveaway), and entrant further waives any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law, rules or provisions (whether of the State of California or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of California.

10. PRIVACY. Information entrants provide to Sponsor will be used to communicate with entrants regarding this Giveaway and otherwise as set forth in these Official Rules, as well as to contact entrants at a later date with respect to products or services which the Sponsor believes may be of interest to them. By submitting an entry, all entrants acknowledge and agree that the personal information that they have provided will be maintained by the Sponsor, all in accordance with the Sponsor’s Privacy and Terms of Use Statement available at www.oasishotels.com

11. PUBLICITY CONSENT. By submitting an entry or accepting a prize, where permitted by law, each winner grants to Sponsor (and agrees to confirm that grant in writing) and those acting pursuant to the authority of the Sponsor the unconditional and irrevocable right and license, without any further compensation, consideration, notice, review or consent, to use, exhibit and publish, in any medium now known or hereinafter known at any time, the following: (a) their name, city and state, age, image, likeness, voice, biographical information and statement for advertising, publicity, trade and public relations purposes, to the extent permitted by law; and (b) any film, tape recording or other reproduction of their appearance or voice upon the awarding of the Grand Prize.

13. SPONSOR. TravAmerica, Inc. exclusive representatives of Oasis Hotels & Resorts sponsors this Giveaway. Sponsor reserves the right to cancel the Giveaway at any time and substitute another promotion in its place.
