According to the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants issued false and/or misleading statements and/or failed to disclose the following: (1) that Ocwen engaged in significant and systemic misconduct at nearly every stage of the mortgage servicing process; (2) that this conduct would subject Ocwen to heightened regulatory scrutiny and potential criminal sanctions; and (3) that as a result of the above, Ocwen’s public statements were materially false and misleading at all relevant times.
